These Terms of Service (“Agreement”) outline the terms under which Driving Conversation SEO (“Agency,” “we,” or “us”) provides marketing services to the client (“Client” or “you”). By engaging our services, you agree to the following:

1. Scope of Services

The Agency will provide marketing and lead generation services as agreed upon in the executed proposal, contract, or onboarding agreement. Services may include but are not limited to:

Paid advertising campaigns

SEO, content, or social media marketing

Consulting and performance reporting

Any services outside the agreed scope may require a separate written agreement.

2. Client Responsibilities

To ensure successful delivery of services, the Client agrees to:

Provide accurate and timely information, content, and approvals needed for campaigns.

Respond promptly to communications from the Agency.

Maintain any necessary accounts (e.g., ad platforms, CRM access) and provide required login credentials.

Follow up with leads provided by the Agency in a timely manner.

3. Payments & Fees

Fees will be outlined in the proposal or contract signed by the Client.

Payments are due on the agreed billing schedule (monthly, quarterly, or as specified).

Late payments may result in suspension or termination of services.

All fees are non-refundable unless otherwise stated in writing.

4. Confidentiality

Both parties agree to maintain confidentiality regarding sensitive business, client, and marketing information exchanged during the term of this Agreement.

5. Intellectual Property

The Agency retains ownership of all creative assets, campaigns, and strategies developed unless otherwise agreed in writing.

The Client is granted a non-exclusive license to use deliverables created under this Agreement for their business purposes.

6. Limitation of Liability

The Agency will not be held liable for indirect, incidental, or consequential damages, including loss of revenue or profits. Our liability is limited to the total fees paid by the Client in the three months preceding the claim.

7. Term & Termination

This Agreement remains in effect until terminated by either party with [30] days’ written notice.

The Agency may terminate immediately if payments are not received, or if the Client breaches the Agreement.

8. Governing Law

This Agreement will be governed by and construed under the laws of the state of Texas, without regard to conflict of law principles.

9. Entire Agreement

This Agreement constitutes the entire understanding between the Client and the Agency and supersedes all prior discussions or agreements.

10. You can cancel the SMS service at any time. Simply text "STOP" to the shortcode. Upon sending "STOP," we will confirm your unsubscribe status via SMS. Following this confirmation, you will no longer receive SMS messages from us. To rejoin, sign up as you did initially, and we will resume sending SMS messages to you.

12. Carriers are not liable for delayed or undelivered messages.

13. As always, message and data rates may apply for messages sent to you from us and to us from you. Message frequency varies. For questions about your text plan or data plan, contact your wireless provider.
